Job Description

Role Overview

Responsible for managing and overseeing the company secretarial, statutory compliance, and corporate governance matters of StarHub Group’s subsidiaries in Malaysia and selected regional entities. The role supports Group governance standards while ensuring compliance with local statutory and regulatory requirements across jurisdictions.

 

Key Responsibilities

Group Governance & Statutory Compliance

  • Oversee timely preparation, review, and submission of statutory filings
  • Maintain statutory registers, corporate records, and compliance calendars for all assigned subsidiaries
  • Align local compliance practices with StarHub Group governance policies

 

Board & Management Support

  • Coordinate and support Board and shareholder meetings
  • Review agendas, board papers, written resolutions, and minutes
  • Advise Directors and management on statutory obligations, governance practices, and risk matters
  • Ensure Board decisions are properly documented and implemented

 

External liaison

  • Act as key liaison between Group Secretariat, management, and external service providers
  • Coordinate with external company secretaries, legal advisors, and regulatory authorities
  • Manage and review work performed by outsourced secretarial firms, and ensure service quality, accuracy, and adherence to deadlines
  • Prepare and manage corporate documents required for audits, due diligence, financing, and KYC processes.

 

Corporate Actions & Transactions

  • Manage and advise on corporate actions including incorporation, restructuring, share allotments, capital changes, inter-company transactions, and liquidation/strike-off
  • Support M&A, divestments, and internal reorganisations from a governance and secretarial perspective
  • Ensure proper documentation and approvals in line with Group authority matrices.

Qualifications

  • Possess MAICSA qualification or a relevant diploma in corporate secretarial practice, and eligible to act as a company secretary in Malaysia.
  • Minimum 5-7 years of corporate secretarial experience, preferably within a corporate group managing multiple entities, including foreign subsidiaries.
  • Strong knowledge of corporate secretarial practices and statutory compliance requirements,  particularly under the Malaysian Companies Act 2016.
  • Experience liaising with regulatory authorities (e.g. SSM) and managing external corporate secretarial agents.

  • Strong communication and organisational skills with high attention to detail.
  • Proficient in drafting minutes, resolutions, and governance documentation.
  • Effective stakeholder engagement and interpersonal skills across all levels.
  • Proactive, resourceful, and able to work independently with minimal supervision.
  • Self-motivated with a positive and collaborative work attitude.
  • Excellent working knowledge in Microsoft Office applications (eg. Word, Excel, Powerpoint).
  • Proficient in written and spoken English and Malay.
